Services are provided on a project-by-project basis as outlined in individual project agreements.
2. Client Responsibilities
As a client, you agree to:

- Respond promptly to requests for feedback and approvals
- Provide necessary content, images, and materials in a timely manner
- Ensure you have rights to use any content you provide
- Make timely payments as outlined in project agreements
- Test deliverables and provide feedback within agreed timeframes
3. Payment Terms
Payment Structure
Payment terms vary by project but typically follow one of these structures:
- Fixed Price: 50% upfront, 50% upon completion
- Milestone-based: Payments tied to project milestones
- Hourly Rate: Monthly invoicing for ongoing work
- Retainer: Monthly recurring payments for ongoing services
Late Payments
Payments are due within 30 days of invoice date. Late payments may incur:
- 1.5% monthly interest on overdue amounts
- Suspension of work until payment is received
- Additional fees for collections if necessary
4. Project Timeline and Delivery
Timeline Estimates
Project timelines are estimates based on information provided at project start. Factors that may affect timeline include:
- Client response time for feedback and approvals
- Complexity of requested changes
- Availability of required content or materials
- Technical challenges or third-party dependencies
Delivery and Acceptance
Projects are considered complete when:
- All deliverables outlined in the project agreement are provided
- Client provides written acceptance of final deliverables
- Final payment has been received
5. Intellectual Property Rights
Dyadic Materials
Dyadic retains ownership of:
- Pre-existing intellectual property
- Tools, processes, and methodologies
- Reusable code and design elements
- Portfolio rights to showcase completed work
Client Materials
Upon full payment, clients receive:
- Ownership of custom-designed website and code
- License to use delivered materials
- Source files and documentation as specified in project agreement
Third-Party Materials
Clients are responsible for:
- Licensing fees for third-party plugins, themes, or assets
- Compliance with third-party license terms
- Content rights and permissions
6. Confidentiality
Both parties agree to maintain confidentiality of:
- Business information and strategies
- Technical specifications and source code
- Customer lists and proprietary information
- Project details not publicly disclosed
This confidentiality obligation survives the termination of any project agreement.
7. Warranty and Support
Warranty
Dyadic warrants that:
- Deliverables will conform to specifications in project agreement
- Code will be free from material defects
- Services will be performed professionally and competently
This warranty does not cover issues caused by:
- Client modifications to delivered code
- Third-party services or plugins
- Normal wear and tear or obsolescence
Support Services
Support options include:
- 30-day bug fix warranty for completed projects
- Optional maintenance and support packages
- Emergency support for critical issues
8. Termination
Termination by Client
Clients may terminate projects with:
- 30 days written notice
- Payment for all work completed to date
- Payment for any non-refundable expenses incurred
Termination by Dyadic
Dyadic may terminate projects for:
- Non-payment or breach of terms
- Client failure to provide necessary materials
- Unreasonable delays or scope changes
9. Limitation of Liability
Dyadic's liability is limited to:
- The amount paid for the specific service in question
- Direct damages only (no consequential or punitive damages)
- Issues arising from our gross negligence or willful misconduct
In no event shall our total liability exceed the total amount paid by the client for the relevant project.
10. Dispute Resolution
Any disputes arising from these Terms shall be resolved as follows:
- First, through good faith negotiation between parties
- If unresolved, through mediation in San Francisco, CA
- Finally, through binding arbitration under California law
11. General Provisions
Entire Agreement
These Terms, along with any project agreements, constitute the entire agreement between parties.
Governing Law
These Terms are governed by and construed in accordance with California law.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force.
Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
